Important Notice
These Terms and Conditions contain provisions that may limit our risk or liability, create risk or liability for you, require you to indemnify us, or serve as an acknowledgement of fact by you. Please read them carefully before using the Services.
By accessing, registering for, purchasing, downloading, installing, activating, or using any iRainbow product or service, you agree to be bound by these Terms and Conditions.
If you do not agree to these Terms and Conditions, you may not use the Services.
Nothing in these Terms limits any rights you may have under applicable law that cannot lawfully be excluded.
1. Definitions
In these Terms, unless the context indicates otherwise:
- Account means the account created to access the Services.
- Additional Terms means any plan rules, promotional rules, order forms, quotations, guarantee rules, consent forms, campaign terms, or product-specific terms made available by iRainbow from time to time.
- AI Features means any artificial intelligence, chatbot, assistant, tutor, recommendation engine, automated marking, automated reporting, or similar functionality offered as part of the Services, including iRainbow Buddy.
- Applicable Law means the laws of the Republic of South Africa.
- Child or Learner means a person under the age of 18 years who uses or benefits from the Services.
- Content means all learning content, assessments, worksheets, activities, reports, videos, text, images, graphics, software code, data, curriculum structures, AI outputs, and other materials made available through the Services.
- Customer, you, or your means the person who registers an Account, purchases a package, or otherwise uses the Services, and includes a parent or legal guardian acting for a Child.
- Fees means all subscription fees, activation fees, once-off fees, renewal fees, maintenance fees, add-on fees, upsell fees, and any other amounts payable to iRainbow.
- Household means a single family unit ordinarily living together under the same home and under the care of the same parent or legal guardian.
- Lifetime Package means a once-off purchase marketed or sold by iRainbow as a lifetime package, lifetime licence, or similar product, whether sold online, in person, through malls, agents, campaigns, or any other approved sales channel.
- Membership means the package, plan, subscription, licence, or product purchased by you.
- Offline Version means any downloadable, installable, device-based, or offline-capable version of the Services.
- Privacy Policy means the iRainbow Privacy Policy, as amended from time to time.
- Profile means a learner profile created under an Account for a specific Child.
- SAS Teachers Membership means a teacher or educator membership offered by iRainbow through SAS Teachers or a similar educator channel.
- Services means all products, software, platforms, features, content, support channels, and related services offered by iRainbow from time to time, including the website, web app, offline version, downloadable version, AI Features, reports, worksheets, video library, dashboards, teacher access, and support communications.
- Success Guarantee means the conditional money-back academic improvement guarantee described in clause 15.
- Third-Party Services means any third-party payment processors, cloud providers, analytics providers, messaging providers, or other platforms integrated with the Services.
2. Who We Are and What We Provide
2.1 iRainbow is a digital education platform designed to support learning in selected grades, subjects, and curricula made available by us from time to time.
2.2 The Services may include, without limitation:
- web-based access through a browser
- offline or downloadable access on supported devices
- learning content, exercises, assessments, worksheets, reports, and other digital resources
- parent, learner, and teacher tools
- AI Features and automated learning assistance
- support via email, WhatsApp, telephone, in-app notices, and other communication channels
- optional add-ons, promotions, bonuses, rewards, upsells, and special offers
2.3 The exact features available to you depend on the Membership you purchased, the subjects and grades included in your package, your device compatibility, and any Additional Terms that apply.
2.4 We may improve, change, suspend, replace, or discontinue any part of the Services at any time, provided that we do not unlawfully remove core paid-for access without cause.
3. Acceptance and Application of These Terms
3.1 These Terms apply whenever you:
- visit our website
- create an Account
- purchase or activate a Membership
- install or use the Offline Version
- create Profiles for Children
- access AI Features
- use any iRainbow Content or support service
3.2 If you are a parent or legal guardian, you agree to these Terms for yourself and on behalf of each Child using the Services under your Account.
3.3 If you are using the Services on behalf of a school, organisation, tutoring business, aftercare, or any commercial or institutional operation, you warrant that you have authority to bind that entity. In such cases, these Terms apply unless a separate written agreement signed by iRainbow states otherwise.
4. Parents, Guardians, and Children
4.1 iRainbow may be used by Children only with the consent, involvement, and supervision of a parent or legal guardian, where required by law.
4.2 The parent or legal guardian who opens the Account is responsible for:
- the accuracy of all registration information
- all activity under the Account and linked Profiles
- ensuring that Children use the Services appropriately
- supervising the use of AI Features and learning content
- ensuring that any school reports or supporting documents submitted to us are lawful and accurate
4.3 You confirm that you are legally entitled to provide us with information relating to any Child Profile created under your Account.
4.4 You must keep login credentials secure and may not share access outside your authorised Household or approved user scope.
5. Accounts, Membership Types, and Profile Rules
5.1 You may be required to create an Account to access some or all of the Services.
5.2 You agree to provide complete, accurate, and up-to-date information and to update it when it changes.
Household Membership
5.3 A standard household Membership covers all Children in the same Household, subject to these Terms and the package purchased.
5.4 Unless iRainbow approves otherwise in writing, a standard household Membership allows up to 5 learner Profiles.
5.5 If your Household has more than 5 Children who need access, you must contact iRainbow and provide reasonable proof requested by iRainbow. If approved, iRainbow may increase the number of Profiles in its discretion and may impose additional verification steps or package conditions.
5.6 Profiles created under a household Membership must belong to Children in the same Household and may not be created for unrelated children, friends, clients, students, or third parties.
SAS Teachers Membership
5.7 If iRainbow offers a teacher or educator membership through SAS Teachers or a similar educator programme, that Membership is product-specific and does not automatically follow the standard household rule unless expressly stated at the time of sale.
5.8 A SAS Teachers Membership includes 5 learner Profiles, unless iRainbow states otherwise in writing.
5.9 If a teacher or educator wants more than 5 learner Profiles under a SAS Teachers Membership, the teacher must contact iRainbow. Additional Profiles may be made available at an additional fee and on terms communicated by iRainbow.
5.10 A SAS Teachers Membership does not automatically grant unlimited learner access, school-wide rights, or commercial usage rights unless iRainbow expressly agrees in writing.
General Account Controls
5.11 We may suspend, limit, verify, or terminate Accounts where we reasonably suspect:
- false information was provided
- Profiles were created for persons outside the authorised group
- the Account is being shared improperly
- promotions, guarantees, or usage rules are being abused
- unauthorised commercial use is taking place
6. Licence and Permitted Use
6.1 Subject to payment of the applicable Fees and compliance with these Terms, iRainbow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for the authorised private educational use linked to your Membership.
6.2 Unless expressly authorised in writing by iRainbow, any licence purchased through our website, app, mall sales, or other consumer sales channels is strictly for private use only within the authorised membership structure.
6.2A In addition to any learner Profile limits that apply to the Membership, certain Memberships may also be limited by the number of devices on which the Services may be used, as disclosed at the time of sale, on the Website, order form, campaign page, mall sales form, or other package communication.
6.2B Depending on the Membership type selected, a Membership may allow use on a maximum of 2 or 3 devices, or such other number of devices as iRainbow specifies at the time of purchase.
6.2C If a User requires access on more devices than the limit included in the Membership, the User may contact iRainbow to request additional device access, which may be quoted and billed separately.
6.3 You may not, and may not allow any other person to:
- copy, reproduce, republish, distribute, sell, resell, rent, lease, sublicense, or commercially exploit the Services or Content
- use the Services for a tutoring business, aftercare, school, training centre, or other institutional or commercial purpose without written permission from iRainbow
- reverse engineer, decompile, disassemble, modify, translate, or create derivative works from the software, except to the extent expressly allowed by law
- bypass technical restrictions, security controls, profile limits, access rules, or payment requirements
- scrape, harvest, automate extraction of, or systematically download Content or data from the Services
- use spiders, crawlers, bots, malicious search technology, or similar extraction tools against the Services
- deep link to the Services in a way that falsely suggests ownership, endorsement, or affiliation
- infect the Services with malware, destructive code, or any software intended to interfere with or damage the Services
- post or transmit unlawful, defamatory, abusive, hateful, obscene, threatening, infringing, or privacy-violating material through any interactive feature of the Services
- share access outside the authorised Household or approved membership scope
- use the Services in a way that interferes with or damages the platform or other users
6.4 All rights not expressly granted to you are reserved by iRainbow and its licensors.
7. School, Tutor, and Commercial Use Restrictions
7.1 Consumer packages sold online or through consumer channels are not valid for commercial, institutional, tutoring, aftercare, or school-wide use.
7.2 Tutors, schools, learning centres, aftercare programmes, NGOs, and organisations must obtain a separate written agreement or business licence from iRainbow before using the Services for multiple learners or in a commercial or institutional setting.
7.3 Unauthorised commercial use is a material breach of these Terms and may result in immediate suspension or termination without refund, together with any other remedies available to iRainbow.
8. Web Access, Offline Access, and Compatibility
8.1 The Services may be available through a web browser, supported mobile devices, desktop devices, and the Offline Version.
8.2 The Services may include, without limitation:
- offline teaching or learning syllabi and downloadable learning content
- parental and teacher monitoring functionality
- gamified teaching and learning modules
- iRainbow's proprietary tiered or levelled approach to curriculum development and teaching
- accessibility across desktop and handheld devices
- loyalty, rewards, bonus, or value-added programme features where offered by iRainbow from time to time
8.3 Some features may require internet connectivity, including:
- account login
- syncing of data
- downloading content
- updates
- AI Features
- certain reports or communications
- access to online-only content or third-party hosted resources
8.4 The Offline Version may provide limited or different functionality compared with the web-based version.
8.5 It is your responsibility to ensure that your devices, operating systems, browsers, storage space, and internet connection are compatible with the Services.
8.6 iRainbow does not guarantee that the Services will function on all devices, all operating systems, all browser versions, or in all geographic regions.
8.7 Where the Services require updates, patches, or downloads to function properly, you are responsible for completing those steps.
8.8 If a User cannot reasonably download the Offline Version through an internet connection, iRainbow may, in its discretion, provide the Services on a USB thumb drive or other physical medium for an additional fee communicated in writing.
9. AI Features
9.1 iRainbow may offer AI Features, including AI tutoring, AI assistance, automated suggestions, automated reports, or automated responses.
9.2 AI Features are provided to support learning and convenience only. They do not replace a qualified teacher, tutor, psychologist, therapist, or other professional.
9.3 AI-generated responses may occasionally be incomplete, inaccurate, misleading, or unsuitable for a particular learner. You agree that all AI outputs must be reviewed with appropriate judgment and, where necessary, by a parent, guardian, or teacher.
9.4 You must not rely solely on AI Features for high-stakes academic, medical, legal, psychological, or safety-related decisions.
9.5 We may monitor, review, store, or use prompts, queries, interactions, and output data associated with AI Features for service delivery, quality control, safety, troubleshooting, analytics, abuse prevention, and product improvement, as further described in our Privacy Policy.
9.6 iRainbow may impose limits on AI usage, messages, contexts, access times, or availability depending on the Membership purchased or system capacity.
9A. Support Services, Maintenance, and Updates
9A.1 For purposes of this clause:
- Agreed Standard Hours means 09h00 to 16h30 CAT on business days
- Incident means a fault, error, or failure of the Services reportable to iRainbow and requiring support
- Off-Peak Hours means 19h00 to 06h00 on business days and all hours on non-business days
- Scheduled Maintenance means planned maintenance of the Services to support proper functionality
9A.2 iRainbow may provide telephonic, email, WhatsApp, or other support services for Incidents relating specifically to the Services only. Support does not include network access, acquiring or maintaining user telecommunications equipment, or unrelated third-party hardware or software support.
9A.3 Unless otherwise stated for a specific package, Incidents should be reported to iRainbow using the support contact details published on the Website or otherwise communicated by iRainbow.
9A.4 iRainbow shall aim to respond to a properly reported Incident within 1 business day and shall apply commercially reasonable efforts to resolve the Incident as soon as commercially reasonable. iRainbow does not guarantee fixed target resolution times because Incidents vary in nature and complexity.
9A.5 iRainbow strives to keep the Services current and functional. Due to changes in technology, curriculum, integrations, and infrastructure, iRainbow may update, rectify, patch, and release revised versions of the Services from time to time.
9A.6 iRainbow will endeavour to carry out Scheduled Maintenance during Off-Peak Hours and, where reasonably possible, will provide at least 36 hours' written notice of Scheduled Maintenance affecting primary or new features.
9A.7 If any error or mistake is found in the Services, iRainbow may update, rectify, and release corrected versions as commercially reasonable.
10. Educational Disclaimer and Outcomes
10.1 iRainbow provides educational tools, content, and support resources. We do not act as a school, examination body, or formal academic institution.
10.2 The Services are intended to support learning, practice, revision, and parental involvement, but academic results depend on many factors outside our control, including attendance, effort, school quality, home support, baseline ability, and external circumstances.
10.3 Except for the specific Success Guarantee in clause 15, iRainbow does not warrant or guarantee any specific academic result, mark, percentage, ranking, or admission outcome.
10.4 You are responsible for ensuring that the Services are suitable for your Child's or learner's educational needs and circumstances.
11. Fees, Plans, and Package Types
11.1 iRainbow may offer different package types, including monthly subscriptions, annual subscriptions, once-off packages, lifetime packages, promotional offers, bundled offers, upgrades, downgrades, add-ons, and upsells.
11.2 The Fees, billing cycle, included features, and package duration for your Membership will be the amount and structure shown at checkout, on your quotation, order form, invoice, campaign page, mall sales form, educator sign-up page, or other written communication from iRainbow.
11.3 If there is a conflict between these Terms and a package-specific order form or written quotation issued by iRainbow, the package-specific order form or quotation will prevail for the commercial terms of that purchase only.
11.4 Unless expressly stated otherwise, all Fees are payable in South African Rand and may include VAT where applicable.
11.5 You authorise iRainbow and its payment partners to process payments using the payment method selected by you.
11.6 You remain responsible for any third-party bank charges, card charges, data charges, device charges, or messaging charges associated with your use of the Services.
11.7 iRainbow may make transaction records, invoices, receipts, order summaries, or related payment documentation available to you through your Account, by email, or by another reasonable method.
11.8 If you reverse, charge back, or instruct your bank or payment provider to return any payment made to iRainbow without lawful grounds, or if the payment details you provided are invalid and cause penalties or fees to be charged to iRainbow, you remain liable for those penalties, fees, and outstanding amounts.
11.9 If Fees are stated in a currency different from the currency used by you, you bear the risk of exchange-rate fluctuations, banking levies, and currency conversion charges.
12. Monthly and Annual Subscriptions
12.1 Monthly and annual subscriptions are recurring memberships that continue until cancelled in accordance with these Terms, unless the product page, order form, or campaign terms clearly state otherwise.
12.2 By purchasing a recurring Membership, you authorise recurring charges on the applicable billing date.
12.3 Your billing date will usually be linked to the date your subscription started, unless iRainbow agrees to change it.
12.4 Subscription fees may change from time to time. Any material pricing change for an ongoing recurring subscription will be communicated before the new price takes effect, unless the change is required immediately by law, tax, payment provider rules, or correction of a pricing error.
12.5 Promotional prices, coupons, discounts, or introductory offers apply only for the period stated in the relevant offer and will then revert to the standard price unless expressly stated otherwise.
12.6 If a recurring payment fails, iRainbow may retry the payment, pause access, restrict features, or cancel the subscription.
12.7 We may require you to update your payment details if your stored payment method expires or fails.
13. Lifetime Packages, Online Video Library, and Once-Off Packages
13.1 iRainbow may continue to offer Lifetime Packages or other once-off packages through malls, agents, online campaigns, or other approved channels.
13.2 A Lifetime Package grants access to the core iRainbow software for an indefinite period, subject always to:
- these Terms
- the original package description or order form
- continued technical supportability of the relevant software environment
- any product-specific limitations disclosed at the time of sale
13.3 Unless expressly stated otherwise in writing at the time of purchase, Lifetime Packages are:
- for private use only
- non-transferable
- not refundable except where required by law or under an approved Success Guarantee claim
- limited to the authorised profile rules in these Terms
13.4 The Online Video Library is an optional add-on feature and may be provided through a third-party service. It is not part of iRainbow's core software offering. While iRainbow may strive to maintain access to this content, iRainbow does not guarantee the indefinite availability of the Online Video Library, as it may be affected by third-party terms, service changes, commercial changes, or discontinuation.
13.5 Unless expressly stated otherwise in writing at the time of purchase, Lifetime Packages include 24 months from activation of:
- software updates and curriculum upgrades
- technical support
- access to the Online Video Library where included in that package
- access to rewards, bonuses, and special offers made available to that package during the included support period
13.6 Access to the Online Video Library, updates, maintenance-dependent services, and other online-only features requires an internet connection.
13.7 After the included 24-month period ends:
- the User may continue using the last supported version of the software then available to them at no additional licence cost
- continued access to new updates, support, the Online Video Library, and other maintenance-linked benefits may require a maintenance or subscription plan
13.8 Unless iRainbow agrees otherwise in writing, the current maintenance plan pricing after the 24-month included period is:
- R49.00 per month, or
- R499.00 per year
13.9 iRainbow may adjust the maintenance plan fees from time to time on at least 30 days' notice.
13.10 If the User cancels a maintenance plan:
- the User will retain access to the current version of the software already available to them
- the User will lose access to future updates, the Online Video Library, technical support, and other value-added maintenance benefits from the effective date of cancellation
13.11 iRainbow may migrate, replace, retire, or modernise old software environments over time. Where a legacy platform, device environment, or software version is no longer reasonably supportable, iRainbow may offer a replacement path, upgrade option, migration option, or maintenance plan in its discretion.
14. Cancellations, No-Refund Policy, and Statutory Rights
14.1 Because the Services are digital products and access may be activated immediately, all purchases are generally final.
14.2 No refunds will be given, except:
- where a refund is required by Applicable Law
- where a valid refund is due under the Success Guarantee in clause 15
- where iRainbow expressly agrees to a refund in writing
14.3 If you cancel a recurring subscription, the cancellation will stop future recurring billings only. You will retain access until the end of the paid billing period, unless access is suspended or terminated earlier for breach.
14.4 Cancellation of a recurring subscription does not entitle you to a refund for amounts already billed, except where required by law or these Terms.
14.5 You acknowledge that once a digital product has been activated, installed, downloaded, accessed, or materially used, iRainbow may have fully or partially rendered the relevant digital service.
14.6 Nothing in these Terms excludes or limits any right that you may have under Applicable Law which cannot lawfully be excluded or limited.
15. Success Guarantee and Money-Back Guarantee
15.1 iRainbow offers a conditional money-back Success Guarantee for eligible customers who do not see measurable academic improvement after qualifying use of the Services.
15.2 To qualify for the Success Guarantee, the Child must:
- use iRainbow for at least 15 minutes per day
- on at least 5 days per week
- for the duration of a full school term
- in the relevant supported subject areas
15.3 The Success Guarantee applies only to the subjects supported by iRainbow in the relevant package purchased.
15.4 To submit a claim under the Success Guarantee, the parent or legal guardian must send a written request to admin@irainbow.co.za within 30 calendar days after the end of the school term relied on for the claim.
15.5 The claim must include sufficient proof reasonably required by iRainbow, which may include:
- system usage data, activity logs, or usage reports showing that the required minimum usage was met
- the Child's school report from the term before consistent use of iRainbow
- the Child's school report from the term after the qualifying period of use
- confirmation of the grades and subjects used
- any additional documents or information reasonably requested by iRainbow to verify the claim
15.6 The Success Guarantee does not apply where:
- the required minimum usage has not been met
- the evidence submitted is incomplete, inaccurate, misleading, or fraudulent
- the Child was not using the Services in the supported subject areas
- the Account or Profiles were being used in breach of these Terms
- the lack of improvement is reasonably attributable primarily to factors outside the scope of the Services
15.7 iRainbow will assess each claim reasonably and in good faith using the information provided and any internal usage data available to us.
15.8 If the claim is approved, iRainbow will process the applicable refund within 30 calendar days to the original payment method where reasonably possible, or by another method determined by iRainbow if necessary.
15.9 The Success Guarantee is the only contractual performance-based refund mechanism offered by iRainbow unless we expressly state otherwise in writing.
16. Promotions, Vouchers, Bonuses, and Upsells
16.1 iRainbow may offer promotional codes, introductory pricing, vouchers, free bonuses, workbook store vouchers, limited-time offers, upsells, bundle deals, and referral promotion programmes.
16.2 Promotions apply only on the specific terms stated in the relevant campaign, checkout page, order form, voucher communication, referral programme terms, or Additional Terms.
16.3 Promotions:
- may be limited by date, product, package, or user type
- may not be combined unless expressly stated
- may be withdrawn, corrected, or refused in cases of error, suspected abuse, or fraud
16.4 Free bonuses, vouchers, or add-on entitlements may be delivered after purchase and may be subject to activation rules, expiry dates, or separate terms.
16.5 An upsell, add-on, or bonus product may have its own billing structure or renewal terms if clearly disclosed at the point of acceptance.
16.6 Teacher and educator offers made through SAS Teachers or similar programmes may have their own pricing, profile limits, access rules, and renewal terms as disclosed at the point of sign-up or in the applicable Additional Terms.
17. Free Trials and Trial Access
17.1 iRainbow may offer free trials, pilot access, demos, educator trials, or other temporary access programmes from time to time.
17.2 Trial offers may be subject to hidden URLs, invitation-only access, lead capture requirements, verification processes, device checks, grade restrictions, or one-trial-per-user limitations.
17.3 Unless expressly stated otherwise, trial access:
- is temporary
- may be restricted in functionality
- may expire automatically
- may be limited to one trial per person, Household, phone number, email address, or device
17.4 We may suspend or refuse trial access where we reasonably suspect duplicate trials, abuse, or false information.
18. Intellectual Property
18.1 The Services and all Content are owned by or licensed to iRainbow and are protected by copyright, trade mark, software, database, and other intellectual property laws.
18.2 Except as expressly permitted in these Terms, you may not copy, reproduce, adapt, distribute, publish, transmit, display, sell, exploit, or create derivative works from any Content.
18.3 Any feedback, suggestions, ideas, improvement requests, or comments you provide to iRainbow may be used by iRainbow without restriction or compensation to you.
18.4 Nothing in these Terms transfers ownership of any intellectual property rights to you.
19. User Content and Submitted Material
19.1 Where you upload, send, submit, or share any text, messages, files, prompts, school reports, screenshots, assignments, or other material through the Services or support channels, you warrant that you have the right to do so.
19.2 You grant iRainbow a non-exclusive, worldwide, royalty-free licence to use, host, copy, process, transmit, and store that material only to the extent necessary to provide, maintain, support, secure, improve, or administer the Services and to comply with legal obligations.
19.3 You must not submit any unlawful, abusive, defamatory, infringing, harmful, or malicious material.
20. Privacy and Personal Information
20.1 We process personal information in accordance with our Privacy Policy and Applicable Law.
20.2 By using the Services, you consent to the processing of your personal information and the personal information of any Child for whom you are authorised to act, to the extent necessary for account administration, service delivery, support, billing, reporting, AI Features, analytics, security, fraud prevention, and product improvement, all as more fully described in the Privacy Policy.
20.3 You acknowledge that some data may be processed by Third-Party Services, including payment processors, hosting providers, analytics providers, communication tools, and AI service providers, subject to appropriate contractual or legal safeguards where required.
20.4 You are responsible for obtaining any consents required from any Child or other person whose data you provide to us.
21. Communications
21.1 You agree that iRainbow may contact you regarding the Services by email, telephone, SMS, WhatsApp, in-app message, push notification, or other electronic means using the contact details you provide.
21.2 These communications may include:
- onboarding messages
- account notices
- billing notices
- renewal notices
- technical or service alerts
- support messages
- educational usage reminders
- promotional communications and direct marketing where permitted by law or where you have consented
21.3 By using the Services and providing your contact details, you acknowledge that iRainbow may use your personal contact information for electronic communications relating to the Services and, where permitted by law, direct marketing. You may opt out of direct marketing at any time.
21.4 It is your responsibility to ensure that your contact details remain accurate and up to date.
22. Service Availability, Maintenance, and Support
22.1 While we aim to keep the Services available and functioning properly, we do not guarantee uninterrupted, error-free, or always-available access.
22.2 The Services may be unavailable or limited from time to time due to maintenance, updates, internet outages, power interruptions, third-party failures, security incidents, force majeure events, platform migrations, or technical problems.
22.3 We may perform maintenance, updates, patches, or emergency interventions without notice where reasonably necessary.
22.4 Support response times, channels, and scope may vary depending on the package purchased and operational capacity.
22.5 If a material change to the Services will reduce functionality available to a User, iRainbow will aim to provide at least 30 days' notice before the change takes effect, unless prior notice is not reasonably possible in the circumstances.
23. Suspension and Termination
23.1 iRainbow may suspend, restrict, or terminate access to the Services immediately if:
- you breach these Terms
- Fees remain unpaid after due demand or repeated failed billing
- we reasonably suspect fraud, abuse, unlawful conduct, or misuse
- we are required to do so by law or a regulator
- continuing to provide access would create material technical, security, legal, or reputational risk
- the Account has been inactive for more than 1 year
- you use the Services for commercial reasons without iRainbow's consent
23.2 We may also suspend access while investigating suspected abuse or while verifying profile, Household, payment, guarantee, or consent information.
23.3 On termination or suspension:
- your licence ends to the extent stated by us
- we may disable access to the Account or selected features
- you remain liable for any Fees already due
- you must immediately cease all use of the Services
- you must make reasonable efforts to delete all parts of the Services held by you in any format whatsoever, unless retention is required by law
- clauses which by nature should survive termination will continue to apply
24. Warranties and Disclaimers
24.1 To the maximum extent permitted by law, the Services are provided "as is" and "as available".
24.2 iRainbow does not warrant that:
- the Services will meet every expectation or requirement
- every item of Content will be error-free or complete
- every device will support the Services
- the Services will always be uninterrupted, secure, or available
- AI outputs will always be correct or suitable
24.3 You use the Services and rely on Content and AI Features at your own risk, subject always to any non-excludable rights you have under law and the specific Success Guarantee in clause 15.
25. Limitation of Liability
25.1 To the fullest extent permitted by law, iRainbow and its directors, employees, agents, contractors, licensors, and partners will not be liable for any indirect, incidental, special, consequential, punitive, or pure economic loss arising from or related to the Services.
25.2 To the fullest extent permitted by law, iRainbow will not be liable for loss of profits, loss of data, loss of goodwill, interruption of learning time, loss caused by internet failure, device failure, school decisions, examination outcomes, third-party platform failures, or reliance on AI outputs.
25.3 To the fullest extent permitted by law, iRainbow's total aggregate liability for any claim arising out of or in connection with the Services will not exceed the total Fees actually paid by you to iRainbow for the relevant Membership during the 12 months preceding the event giving rise to the claim.
25.4 Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded or limited under Applicable Law.
26. Indemnity
26.1 You indemnify and hold harmless iRainbow and its directors, employees, agents, contractors, and partners from and against any claim, loss, damage, cost, or expense arising from:
- your breach of these Terms
- your unlawful or improper use of the Services
- any data, material, or document you submit without authority
- your use of the Services for unauthorised commercial purposes
- your infringement of any third-party rights
26.2 This indemnity applies to the fullest extent permitted by law.
27. Third-Party Services and Links
27.1 The Services may integrate with or rely on Third-Party Services.
27.2 We do not control all Third-Party Services and are not responsible for their acts, omissions, content, uptime, privacy practices, or performance.
27.3 Your use of third-party websites, payment platforms, app stores, communication platforms, or linked services may be subject to their own terms and privacy policies.
27A. Force Majeure
27A.1 Except for the obligation to pay monies due and owing, neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including severe weather, fire, flood, lightning, explosion, war, civil disorder, labour dispute, acts or omissions of service providers for whom it is not legally responsible, governmental action, telecommunications failure, internet service failure, or power interruption.
27B. Arbitration
27B.1 Any dispute arising out of or pursuant to these Terms, other than where urgent or interim relief is sought from a court of competent jurisdiction, shall be submitted to arbitration in South Africa.
27B.2 The parties shall attempt to appoint an arbitrator jointly within 14 calendar days of a written demand for arbitration, failing which either party may approach the Arbitration Foundation of South Africa (AFSA) to recommend or appoint an arbitrator.
27B.3 Unless otherwise agreed, the arbitration shall be conducted in accordance with the commercial arbitration rules of AFSA then in force.
27B.4 The arbitration shall be held in Johannesburg and, unless otherwise required by law or the arbitrator, shall be private.
27B.5 The arbitrator's decision shall be final and binding, subject to any rights of review or challenge that cannot lawfully be excluded.
27B.6 This clause is severable from the rest of these Terms and shall remain effective even if these Terms terminate.
28. Complaints and Support
28.1 If you have a complaint, billing issue, support request, or guarantee claim, you should contact iRainbow using the contact details published on our website.
28.2 We may request additional information from you to verify identity, ownership of the Account, payment details, or claim details before assisting you.
29. Changes to These Terms
29.1 iRainbow may update these Terms from time to time.
29.2 If we make a material change, we may notify you by email, website notice, in-app notice, or another appropriate communication method.
29.3 The updated Terms will take effect from the date stated at the top of the document, unless a later effective date is specified.
29.4 Your continued use of the Services after the updated Terms take effect means you accept the updated Terms.
30. General
30.1 Entire agreement
These Terms, together with the Privacy Policy and any applicable Additional Terms, constitute the entire agreement between you and iRainbow regarding the Services, unless a separate written agreement signed by iRainbow applies.
30.2 Conflict
If there is a conflict between these Terms and any Additional Terms or package-specific written terms, the following order will apply unless expressly stated otherwise:
- a separate written agreement signed by iRainbow
- package-specific order form, quotation, or promotional terms for the relevant purchase
- these Terms
- the Privacy Policy
30.3 Confidentiality
Neither party shall disclose the other party's confidential information to any third party without prior written approval, unless disclosure is required by law or reasonably necessary to perform obligations under these Terms.
30.4 Good faith
The parties shall in their dealings with each other act in good faith.
30.5 Relationship between the parties
Nothing in these Terms creates a partnership, agency, joint venture, employment, or representative relationship between the parties, and neither party may bind the other.
30.6 No representation
To the fullest extent permitted by law, no party shall be bound by any express, implied, or tacit term, representation, warranty, promise, or the like not recorded in these Terms or in a written agreement signed by the party to be bound.
30.7 Breach and remedy
If either party breaches a material provision of these Terms and fails to remedy that breach within 14 calendar days after receiving written notice requiring it to do so, the aggrieved party may, without prejudice to any other remedy available at law or under these Terms, cancel these Terms or claim specific performance.
30.8 Waiver
Any failure by iRainbow to enforce a right is not a waiver of that right.
30.9 Severability
If any provision is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
30.10 Assignment
You may not assign or transfer your rights or obligations under these Terms without iRainbow's prior written consent. iRainbow may assign or transfer its rights and obligations to a successor, affiliate, purchaser, or group company.
30.11 Governing law
These Terms are governed by the laws of the Republic of South Africa.
30.12 Jurisdiction
Subject to any mandatory rights you may have under Applicable Law and clause 27B, the parties consent to the jurisdiction of the competent courts of South Africa.
30.13 Electronic communications and records
You agree that agreements, notices, disclosures, and communications sent electronically satisfy any legal requirement that such communications be in writing.
30.14 Formal notices
iRainbow chooses H. Santos Building, 30 Arena Cl, Bruma, Johannesburg, 2026 and admin@irainbow.co.za as its addresses for formal notices and legal process connected with these Terms. You choose the email address recorded on your Account as your address for service of formal notices and legal process, which may be changed by written notice to iRainbow. Unless the law requires another method, notice by email shall be sufficient and shall be deemed received on the day of sending.
